  1. STANDARD TERMS AND CONDITIONS OF SALE
  2. 1. Acceptance and Waiver The Client explicitly waives its own standard terms and conditions, even if such terms were drafted after these Standard Terms and Conditions of Sale. To be valid, any derogation or modification to these terms must be expressly agreed to in advance in writing by GEAMY GROUP LLC.
  3. 2. Payment Terms Unless a different payment timeframe is explicitly indicated on the invoice or the purchase order, all invoices are payable within twenty-one (21) business days. In the event of non-payment by the due date, GEAMY GROUP LLC reserves the right to charge a fixed penalty amounting to 10% of the outstanding balance. Furthermore, GEAMY GROUP LLC is authorized to suspend any provision of services or delivery of goods without prior notice in the event of late payment.
  4. 3. Collections and Legal Fees If any payment remains outstanding for more than sixty (60) days past the due date, GEAMY GROUP LLC reserves the right to refer the matter to a debt recovery agency or legal counsel. All associated legal expenses, collection fees, and court costs shall be payable by the Client.
  5. 4. Taxes and Withholding Certain jurisdictions may apply withholding taxes on invoice amounts in accordance with their internal legislation. Any such withholding tax shall be borne solely by the Client and paid to the relevant tax authorities. Under no circumstances shall GEAMY GROUP LLC be liable for costs or deductions related to the legislation of the country or state in which the Client is located. The total invoice amount shall therefore be due to GEAMY GROUP LLC in its entirety, free of any deductions.
  6. 5. Limitation of Liability GEAMY GROUP LLC undertakes to use its best efforts to supply high-performance services and goods in accordance with agreed timeframes. However, none of its obligations shall be construed as an obligation of result. Under no circumstances shall GEAMY GROUP LLC be required by the Client to appear as a third party in the context of any claim for damages filed against the Client by an end consumer.
  7. 6. Claims and Notice To be admissible, GEAMY GROUP LLC must be notified of any claim regarding the goods or services by means of a letter sent by recorded delivery (certified mail) to its registered office within eight (8) days of the delivery of the goods or the provision of the services.
  8. 7. Governing Law and Jurisdiction All contractual relations between the parties shall be governed exclusively by the laws of the State of Florida, USA. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Pinellas County, Florida.
